Coinbase Wins Conditional OCC Approval for a National Trust Charter

The Office of the Comptroller of the Currency granted Coinbase conditional approval on April 2, 2026 to establish Coinbase National Trust Company (CNTC). The charter would federalize the institutional custody business currently housed in Coinbase's New York state-chartered trust company.

What it is — and isn't

Coinbase stressed that it is not becoming a commercial bank. The trust company will not take retail deposits and will not engage in fractional-reserve lending. Instead, a national trust charter lets Coinbase act as a federally supervised fiduciary and custodian across all U.S. states under a single regulator.

Conditions still apply

The approval is preliminary. Before a full charter is granted, Coinbase must build out compliance systems, hire key staff, pass regulatory reviews and demonstrate strong risk-management and anti-money-laundering controls.

Why it matters

  • Coinbase already custodies assets for more than 80% of the world's digital-asset ETFs.
  • A federal charter opens the door to pension and insurance money that typically requires a federally regulated fiduciary.
  • It marks another step in crypto's integration into the U.S. banking system after years of regulatory friction.
